1. Acceptance of Terms

Welcome to TradingCardDex.com! These Terms of Use ("Terms") govern your access to and use of the TradingCardDex.com website (https://tradingcarddex.com) and any related mobile application (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service. We may update these Terms from time to time, and the updated version will be posted on this page with a new "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Eligibility and User Accounts

Age Requirement: The Service is intended for users who are at least 13 years old. By using the Service, you represent and warrant that you are at least 13 years old. If you are under 18, you confirm that you have obtained parental or guardian consent to use the Service.
Account Creation: To access certain features of the Service, including premium content or subscription services, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
Account Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

3. Use of the Service

Permitted Use: You may use the Service only for lawful purposes and in accordance with these Terms.
Prohibited Conduct: You agree not to:
Use the Service in any way that violates any applicable federal, state, local, or international law or regulation.
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm TradingCardDex.com or users of the Service or expose them to liability.
Use the Service to transmit, or procure the sending of, any advertising or promotional material, including "junk mail," "chain letter," "spam," or any other similar solicitation.
Impersonate or attempt to impersonate TradingCardDex.com, a TradingCardDex.com employee, another user, or any other person or entity.
Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
Attempt to gain unauthorized access to the Service or its related systems or networks.
Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Collect or store personal data about other users without their express permission.
Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service without our express written permission.

4. Intellectual Property Rights

Service Content: The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by TradingCardDex.com, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Limited License: These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use only.
User-Generated Content: If the Service allows you to post, upload, publish, submit, or transmit content ("User Content"), you retain any intellectual property rights you hold in that User Content. However, by making any User Content available through the Service, you grant TradingCardDex.com a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, copy, modify, create derivative works based upon, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the Service and TradingCardDex.com's business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant the foregoing license to TradingCardDex.com.

5. Subscriptions and Recurring Products (e.g., App to Save Cards)

Subscription Plans: We may offer various subscription plans that provide access to premium features or content within the Service. Details of these plans, including pricing, billing cycles, and features, will be presented to you at the time of purchase or on the Service's subscription page.
Billing and Payments:
By purchasing a subscription, you authorize TradingCardDex.com (or its third-party payment processor) to charge your designated payment method on a recurring basis for the subscription fee and any applicable taxes.
Subscription fees are typically charged in advance of each billing cycle.
You agree to provide current, complete, and accurate billing and payment information and to promptly update all information to keep your billing account current, complete, and accurate.
Automatic Renewal (Florida Specific Compliance):
Your subscription will automatically renew at the end of each billing cycle (e.g., monthly, annually) unless you cancel it in accordance with the cancellation terms below.
For subscriptions with a term of 12 months or more that automatically renew for a specified period of more than 1 month, we will provide you with written or electronic notification no less than 30 days and no more than 60 days before the cancellation deadline. This notification will clearly and conspicuously disclose:
That unless you cancel the contract, it will automatically renew.
Methods by which you may obtain details of the automatic renewal provision and cancellation procedure.
By subscribing, you acknowledge and agree to these automatic renewal terms.
Price Changes: We reserve the right to change our subscription prices at any time. If we do, we will provide you with reasonable advance notice of any price changes. Your continued use of the subscription service after a price change constitutes your agreement to the new price. If you do not agree to the new price, you must cancel your subscription before the new price takes effect.
Cancellation:
You may cancel your subscription at any time by following the instructions provided within the Service (e.g., in your account settings) or by contacting us at support@tradingcarddex.com.
Florida law (F.S. § 501.166) requires that consumers be allowed to cancel a service contract with an automatic renewal provision in the same manner, and by the same means, as the consumer manifested his or her acceptance of the service contract. If you subscribed online, you will have an online cancellation option.
Your cancellation will be effective at the end of your current paid billing cycle. You will not receive a refund for any portion of the subscription period for which you have already paid, unless otherwise required by applicable law (e.g., specific refund policies for initial periods, as noted below).
Refunds:
Generally, subscription fees are non-refundable. However, we may provide refunds in specific circumstances at our sole discretion or where required by law.
For example, if you cancel within a statutory "cooling-off" period (if applicable in your jurisdiction) or if there is a demonstrated technical issue preventing your use of the service that we cannot resolve, a refund may be issued.

6. Affiliate Links and Third-Party Content

Affiliate Disclosure: Our Service may contain affiliate links, which means we may earn a commission if you click on a link and make a purchase from a third-party site. This comes at no extra cost to you. We clearly disclose the use of affiliate links where applicable.

We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. THE SERVICE, INCLUDING ALL SUBSCRIPTION-BASED FEATURES AND CONTENT, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER TRADINGCARDDEX.COM NOR ANY PERSON ASSOCIATED WITH TRADINGCARDDEX.COM MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE. WITHOUT LIMITING THE FOREGOING, NEITHER TRADINGCARDDEX.COM NOR ANYONE ASSOCIATED WITH TRADINGCARDDEX.COM REPRESENTS OR WARRANTS THAT THE SERVICE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICE OR ANY SERVICES OR ITEMS OBTAINED THROUGHTHE SERVICE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

TO THE FULLEST EXTENT PROVIDED BY LAW, TRADINGCARDDEX.COM HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

8. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL TRADINGCARDDEX.COM, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE (INCLUDING ANY SUBSCRIPTION SERVICES), ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

9. Indemnification

You agree to defend, indemnify, and hold harmless TradingCardDex.com, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products (including subscription services) other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Service.

10. Governing Law and Jurisdiction

All matters relating to the Service and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Florida, USA, without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Service shall be instituted exclusively in the federal or state courts located in Miami-Dade County, Florida, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

11. Arbitration

Binding Arbitration: At TradingCardDex.com's sole discretion, it may require you to submit any disputes arising from these Terms of Use or use of the Service, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Florida law.

Waiver of Class Action: You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class-action basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

12. Termination

We may terminate or suspend your access to all or part of the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Use. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to delete your account.

13. Miscellaneous

Entire Agreement: The Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and TradingCardDex.com regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
Waiver and Severability: No waiver by TradingCardDex.com of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of TradingCardDex.com to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
Headings: The headings in these Terms are for convenience only and have no legal or contractual effect.
